Anavah Trade


1. About These Terms

These Terms of Service ("Terms") govern your use of the Anavah Trade website at anavah.trade ("Website") and any sourcing, export, or procurement services provided by Anavah Trade ("we", "us", "our").

Anavah Trade is a registered export trading company operating from Kanpur, Uttar Pradesh, India.

By accessing this Website or submitting an inquiry, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use this Website or submit any inquiry.

These Terms are intended for business customers ("Clients") entering into a commercial relationship with Anavah Trade. They do not apply to employment, agency, or partnership arrangements.


2. Our Services

Anavah Trade provides the following services to international business buyers:

  • Product sourcing — identifying, curating, and procuring premium Indian goods including imitation jewellery and silk sarees from vetted manufacturers, artisans, and weavers across India.
  • Quality control — pre-shipment inspection and quality assurance of sourced goods.
  • Packaging and presentation — custom branded packaging, labelling, and export packing.
  • Export documentation — preparation of all required export paperwork including commercial invoice, packing list, certificate of origin, and shipping bill.
  • Logistics coordination — arrangement of freight forwarding and shipping to the UK, EU, USA, Canada, and other agreed destinations.

The specific scope, pricing, quantities, timelines, and delivery terms for any order are confirmed in a separate written agreement, proforma invoice, or purchase order between Anavah Trade and the Client.


3. Inquiries and Quotes

Submitting a quote request or inquiry through this Website does not constitute a binding contract. A binding agreement exists only when both parties have confirmed the order in writing — typically via a signed proforma invoice or purchase order.

All quotes are subject to:

  • Product availability at the time of order confirmation
  • Foreign exchange rates at the time of invoice
  • Shipping carrier availability and rates at the time of booking

Quotes are valid for 14 days from the date of issue unless otherwise stated in writing.


4. Pricing and Payment

4.1 All prices quoted by Anavah Trade are in US Dollars (USD) or British Pounds Sterling (GBP) unless otherwise stated. Prices are exclusive of any applicable import duties, taxes, or levies at the destination country — these are the responsibility of the Client.

4.2 Payment terms are as agreed in writing for each order. Standard terms are 50% advance payment upon order confirmation and 50% prior to shipment, unless otherwise agreed.

4.3 All payments must be made by bank transfer (SWIFT/wire) to the bank account details provided on the invoice. Anavah Trade is not responsible for funds transferred to incorrect accounts if the Client has not verified payment details directly with us.

4.4 Anavah Trade reserves the right to suspend or cancel an order if payment is not received within the agreed timeframe.


5. Shipping, Delivery, and Risk

5.1 Delivery terms (FOB, CIF, DDP, or other Incoterms) are agreed in writing for each order.

5.2 Risk of loss or damage to goods passes to the Client at the point agreed under the applicable Incoterms.

5.3 Estimated delivery timelines are provided in good faith but are not guaranteed. Delays caused by freight carriers, customs authorities, weather, or other factors outside our control do not constitute a breach of contract.

5.4 The Client is responsible for all import duties, VAT, customs clearance fees, and any other charges levied by the destination country's authorities.

5.5 Anavah Trade will provide all standard export documentation. Additional documentation required by specific destination markets must be requested in writing at the time of order.


6. Quality, Inspection, and Returns

6.1 Anavah Trade conducts pre-shipment quality inspections on all orders. Inspection reports are available upon request.

6.2 The Client is responsible for ensuring that the products ordered comply with all applicable regulations, safety standards, and labelling requirements in the destination market (including but not limited to UK REACH, EU GPSR, and US CPSC regulations). Anavah Trade will provide product information to assist with compliance assessments but cannot accept liability for a Client's failure to conduct their own due diligence.

6.3 Claims for shortages, damage, or quality defects must be submitted in writing within 7 days of the Client's receipt of the goods, accompanied by photographic evidence and a description of the issue.

6.4 Returns are not accepted unless a defect claim is agreed in writing by Anavah Trade. Accepted defect claims will be resolved by replacement, credit note, or partial refund at Anavah Trade's discretion.

6.5 Anavah Trade does not accept returns for goods that have been used, resold, altered, or processed in any way.


7. Intellectual Property

7.1 All content on this Website — including text, images, logos, graphics, and design — is the property of Anavah Trade or its licensors and is protected by applicable intellectual property laws.

7.2 You may not copy, reproduce, distribute, or use any content from this Website without our prior written consent, except for the purpose of reviewing our services or placing an inquiry.

7.3 Where a Client provides designs, artwork, brand guidelines, or other materials for custom or branded orders, the Client warrants that they have the right to use and share such materials and that their use does not infringe any third-party intellectual property rights. The Client indemnifies Anavah Trade against any claims arising from such materials.


8. Confidentiality

Both parties agree to keep confidential any non-public commercial information shared during the course of their business relationship — including pricing, supplier details, designs, and business plans — and not to disclose such information to third parties without prior written consent, except as required by law.


9. Limitation of Liability

9.1 To the maximum extent permitted by applicable law, Anavah Trade's total liability to the Client for any claim arising out of or in connection with our services shall not exceed the value of the specific order to which the claim relates.

9.2 Anavah Trade shall not be liable for any indirect, consequential, special, or incidental loss — including loss of profit, loss of business, or reputational damage — even if we were aware of the possibility of such loss.

9.3 Nothing in these Terms excludes or limits liability for fraud, death, or personal injury caused by our negligence.


10. Force Majeure

Anavah Trade shall not be in breach of these Terms or liable for any delay or failure to perform our obligations if such delay or failure results from circumstances beyond our reasonable control — including but not limited to acts of God, natural disasters, pandemic, war, government action, port closures, or freight carrier failures. We will notify the Client promptly of any such event and its expected duration.


11. Governing Law and Disputes

11.1 These Terms are governed by the laws of India.

11.2 In the event of a dispute, both parties agree to first attempt to resolve the matter amicably through written communication within 30 days of the dispute being raised.

11.3 If the dispute cannot be resolved amicably, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India). The seat of arbitration shall be Kanpur, Uttar Pradesh, India. The language of arbitration shall be English.

11.4 Nothing in this clause prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction.


12. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated date. Continued use of the Website or submission of inquiries after changes are posted constitutes acceptance of the revised Terms.
